Contract Between Fan and Creator

1. Introduction

This Contract Between Fan and Creator ("this Agreement") governs each interaction between a Fan and a Creator on ViewR. This Agreement forms a legally binding contract each time a Creator Interaction occurs.

Important:

By subscribing to a Creator or purchasing content, you enter into this Agreement with the Creator. ViewR facilitates this agreement but is not a party to it except as specified below.

2. Scope

This Agreement is legally binding and applies each time a Creator Interaction is initiated on ViewR. This Agreement applies to the exclusion of any other terms which the Fan or Creator may propose.

3. Parties

The only parties to this Agreement are the Fan and Creator participating in the Creator Interaction. ViewR and its operators are not parties to this Agreement or any Creator Interaction, except:

  • As the payment processor and intermediary for Fan Payments
  • As the platform provider facilitating the Creator Interaction
  • For enforcement of platform rules and Terms of Service

4. Definitions

In this Agreement, defined terms have the following meanings:

  • "ViewR": the platform accessible at viewr.me and operated by ViewR.
  • "Content": any material uploaded to ViewR by any User, including photos, videos, audio, text, messages, and any other material.
  • "Creator": a User who has set up their ViewR account to post Content for Fans to view.
  • "Creator Earnings": the portion of a Fan Payment payable to a Creator (80% after platform fees).
  • "Creator Interaction": an interaction on ViewR that grants access to a Creator's Content, including: (i) a Subscription; (ii) payment for PPV Content; (iii) Tips; and (iv) any other interaction or payment between a User and a Creator's account or Content, including direct messages.
  • "Creator Interaction Licence": the non-transferable, non-sublicensable, and non-exclusive rights each Creator grants to Relevant Content.
  • "Fan": a User who has registered for an account and who can access a Creator's Content via a Creator Interaction.
  • "Fan Payment": any payment related to a Creator Interaction.
  • "Platform Fee": the 20% of all Fan Payments charged to Creators in accordance with the Terms of Service.
  • "PPV Content": Pay-Per-View Content for which the Fan must make an individual payment.
  • "Relevant Content": the applicable Content of a Creator to which a Creator Interaction relates.
  • "Subscription": a Fan's binding agreement to obtain access for a specific period to Content that a Creator makes available in exchange for authorising recurring payments.
  • "Chat Operator": any person or AI system authorised by a Creator to communicate with Fans on the Creator's behalf.

5. Pricing and Payment

The Fan entering into a Creator Interaction agrees to pay the applicable Fan Payment plus any applicable taxes. ViewR is authorised to:

  • Collect and process Fan Payments on behalf of Creators
  • Deduct the Platform Fee (20%)
  • Pay out Creator Earnings to the Creator
  • Pay applicable referral payments where relevant

6. Subscriptions and Renewals

Automatic Renewal Notice:

When you select "Subscribe," you agree to start a Subscription that will automatically renew at the current rate. You authorise ViewR to charge you again after each Subscription period ends.

A Subscription will NOT automatically renew if:

  • Your payment method is declined and you have not provided an alternative
  • The Subscription price has increased (you will be notified)
  • You have cancelled the Subscription before the renewal date
  • You close your ViewR account before the new Subscription period begins
  • The Creator has deleted their account or been terminated

By selecting "Subscribe," you acknowledge that you will not receive further notice regarding the renewal of that Subscription.

7. Licence of Content

As part of a Creator Interaction, the Creator grants the Fan a Creator Interaction Licence. This licence permits the Fan to:

  • Access and view the Relevant Content on ViewR
  • View the Content for personal, non-commercial use only

The licence does NOT permit the Fan to:

  • Download, copy, or reproduce the Content (except as permitted by law)
  • Distribute, share, or resell the Content
  • Use the Content for any commercial purpose
  • Modify or create derivative works from the Content

8. Ownership of Content

The Creator Interaction Licence does not grant any Fan ownership rights to the Relevant Content. The Creator retains full ownership of all Content they create and upload to ViewR.

9. Expiry of Licence

The Creator Interaction Licence expires automatically without notice:

  • If the Fan Payment related to the Creator Interaction was unsuccessful, charged back, or reversed
  • If the Creator deletes either the Relevant Content or their Creator account
  • When an active Subscription period ends without renewal
  • If the Fan's account is suspended or terminated
  • If the Fan breaches the ViewR Terms of Service
  • If Content is removed from the Creator's account or the Creator's account is suspended or terminated
  • If the Fan closes their account

10. Removal of Content

ViewR reserves the right to remove any Content from a Creator's account at any time if it violates our Terms of Service. The Fan acknowledges that:

  • Creators may remove Content, including PPV Content, at any time
  • Removed Content may no longer be accessible even if previously purchased
  • Refunds are not automatically provided for removed Content

11. Cancellation and Refunds

In respect of every Creator Interaction:

  • The Fan will gain access to the Relevant Content immediately or within 14 days of the Creator Interaction
  • The Fan agrees that by accessing Content immediately, any statutory right to cancel may not apply to PPV purchases
  • Subscriptions may be cancelled at any time; access continues until the end of the current billing period
  • Refunds are not provided for partial Subscription periods
  • This Agreement does not affect any statutory refund rights under applicable consumer protection laws

12. Obligations Between Creator and Fan

12.1 Both Parties Agree To:

  • Comply at all times with the ViewR Terms of Service
  • Act in good faith in all Creator Interactions
  • Not engage in fraudulent or deceptive conduct

12.2 The Creator Agrees To:

  • Be solely responsible for creating and publishing Relevant Content
  • Warrant that they possess all necessary rights to grant a Creator Interaction Licence
  • Provide PPV Content once the Fan has made the Fan Payment
  • Take responsibility for any Chat Operators or AI systems they authorise to communicate on their behalf
  • Comply with all applicable laws regarding content creation

12.3 The Fan Acknowledges and Agrees That:

  • Third parties (Chat Operators) or AI systems may assist Creators in operating their accounts and communicating with Fans
  • They consent to receiving communications from Creator-authorised representatives
  • They will make the Fan Payment required to access paid Content
  • They will not initiate a chargeback unless they dispute the Creator Interaction in good faith
  • They assume all risk of accessing the Relevant Content unless the Creator engages in negligence or breach of duty
  • The Creator (not ViewR) is responsible for the Content provided

13. Chat Operators and AI Communication

Fan Acknowledgment:

By using ViewR, Fans acknowledge and consent that Creators may use human Chat Operators or AI systems to manage communications. The Creator remains fully responsible for all communications sent from their account.

The Creator warrants that any Chat Operators or AI systems they use will:

  • Comply with these terms and the ViewR Terms of Service
  • Not engage in fraudulent or deceptive practices
  • Represent the Creator's interests and brand accurately
  • Handle Fan communications professionally and appropriately

14. No Guarantees

The Fan participating in the Creator Interaction acknowledges that circumstances may prevent access to Relevant Content, including:

  • Temporary unavailability of ViewR due to maintenance or technical issues
  • Content removal by the Creator or ViewR
  • Account suspension or termination
  • Force majeure events

15. Applicable Law and Disputes

To the greatest extent permitted by law:

  • This Agreement is governed by the laws of the State of Delaware, United States
  • Fans and Creators agree to attempt resolution through ViewR support before initiating legal action
  • Disputes shall be resolved through binding arbitration where permitted by law
  • Nothing in this Agreement affects statutory consumer protection rights

16. Severability

If any provision of this Agreement is found to be invalid, unenforceable, or prohibited by law, the remaining provisions shall remain in full force and effect.
